These Terms & Conditions ("Terms") govern your access to and use of TruxCRM, a software product owned and operated by GrowAx Enterprises, based in Lahore, Pakistan ("TruxCRM", "we", "us", or "our"), including the website at truxcrm.com and the application at app.truxcrm.com (together, the "Service"). By creating an account or using the Service, you ("you", "Customer") agree to these Terms. If you do not agree, do not use the Service.

1. The Service

TruxCRM is a web-based CRM for licensed auto-transport brokers, providing tools to manage leads, quotes, orders, carriers and dispatch, customer records, documents, payments tracking, messaging, and related operations. The Service is provided on an "as is" and "as available" basis and may be updated, changed, or discontinued in whole or in part at any time.

2. Eligibility & accounts

You must be at least 18 years old and authorized to act on behalf of the business you register. You agree to provide accurate information and to keep it current. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We may refuse, suspend, or terminate accounts at our discretion.

3. Acceptable use

You agree not to:

• use the Service for any unlawful, fraudulent, or unauthorized purpose;
• send unlawful, deceptive, or unsolicited bulk messages, or otherwise violate anti-spam or communications laws;
• upload malware, or content that infringes third-party rights or is unlawful;
• attempt to access data or accounts that are not yours, or bypass security or access controls;
• scrape, copy, reverse engineer, decompile, or attempt to derive the source code of the Service;
• resell, sublicense, or provide the Service to third parties except as expressly permitted by us;
• interfere with or disrupt the integrity or performance of the Service.

4. Your data & responsibility

You retain ownership of the data you enter into the Service ("Customer Data"). You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and support the Service. You are solely responsible for your Customer Data, including its accuracy and legality, for having the right and any necessary consents to upload and process it (including data about your customers and other third parties), and for your use of the Service. You are responsible for maintaining your own backups where appropriate.

5. Email & communications

Messages you send through the Service are delivered using the email account or provider you configure, and are sent under your identity. You are solely responsible for the content, accuracy, and legality of those messages and for compliance with all applicable email, marketing, and anti-spam laws. Email delivery and inbox placement depend on your domain configuration, your email provider, and the policies of receiving mail systems; we do not control and do not guarantee deliverability, inbox placement, or that messages will not be marked as spam.

6. Pricing data & third-party integrations

Any rate estimates, pricing information, third-party data, or integrations (including with load boards such as Central Dispatch) that may be made available through the Service are provided for convenience only, may be inaccurate, incomplete, delayed, or unavailable, and are used at your own risk. Third-party services and integrations are operated by third parties under their own terms; we are not responsible or liable for them, and your use of them is between you and the relevant third party. You are responsible for verifying any pricing before relying on it.

7. AI assistant

The Service may include a read-only AI assistant that generates responses from your CRM data using a third-party AI provider. AI outputs may be inaccurate or incomplete and must not be relied upon as professional, legal, financial, or operational advice. You are responsible for verifying AI outputs before acting on them.

8. Fees

Where the Service is offered on a paid basis, you agree to pay the fees presented to you, plus any applicable taxes. Unless otherwise stated or required by law, fees are non-refundable. We may suspend or limit access for non-payment. We may change pricing on a going-forward basis with reasonable notice.

9. Intellectual property

The Service, including its software, design, branding, and the "TruxCRM" name and logo, is owned by GrowAx Enterprises and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. No other rights are granted. You may not use our name or marks without our prior written permission.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that data (including pricing or AI outputs) will be accurate, or that messages will be delivered or reach the inbox.

11. Limitation of liability

To the maximum extent permitted by law, in no event will GrowAx Enterprises, TruxCRM, or their owners, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amount you paid us for the Service in the three (3) months preceding the event giving rise to the claim, or USD 100.

12. Indemnification

You agree to defend, indemnify, and hold harmless GrowAx Enterprises and TruxCRM from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your Customer Data, your use of the Service, the messages you send, your violation of these Terms, or your violation of any law or third-party right.

13. Suspension & termination

We may suspend or terminate your access at any time if you breach these Terms, if required to protect the Service or other users, or if required by law. You may stop using the Service at any time. Upon termination, your right to use the Service ends. We may make Customer Data available for export for a limited period at our discretion, after which it may be deleted. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing law

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict-of-laws principles, and you agree to the exclusive jurisdiction of the courts located there, except where applicable law requires otherwise.

15. Changes

We may update these Terms from time to time. Material changes will be reflected by updating the date above. Your continued use of the Service after an update constitutes acceptance of the revised Terms.

16. General

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
